Preamble:
The Healthcare System Infrastructure Association is a partner association of logistic-natives e.V. and specifically represents the economic and legal interests of the members of this professional association at a national level. In the following text of the statutes, the professional association is referred to as “InGes”.
In these statutes, the feminine form of language is used for personal nouns and pronouns instead of the usual masculine form. However, this does not imply any discrimination against the male or diverse gender, but should be understood as gender-neutral for the sake of linguistic simplification.
§1 Name, Registered Office, and Fiscal Year
1. The InGes association is a free and party-independent partner institution of logistic-natives e.V. and is largely guided by its statutes. Identical paragraphs are only listed; deviations are explicitly and conclusively formulated in these statutes.
2. The InGes association has its headquarters at the office of logistic-natives e.V. in Berlin. The activities of the Healthcare System Infrastructure Association extend to the sphere of influence of all members from the healthcare sector.
3. The fiscal year of the association is the calendar year. Short fiscal years conclude at the end of the calendar year.

§2 Purpose and Responsibilities

Sentence 4: coordination serving the purpose with representatives of other associations, e.g., professional associations, hospital associations, software manufacturers and operators, e-commerce associations such as purchasing groups, national logistics & transport associations, as well as related activities with other official bodies.
The purpose of the association shall be achieved through the following non-material means. The list is not exhaustive. Non-material means include:
a) Participation in the national standardization of specifications (G-BA, IQTIQ, DIN, etc.)
b) Discussions with institutions and interest groups as well as exchange of information with association members, assessments, participation in relevant committees, and submission of proposals for the creation of practical laws, implementation standards, and regulations;
c) Organization of trade fairs, information events, colloquia, seminars, and similar events;
d) Preparation of studies;
e) Certification and auditing of the implementation of requirements by national bodies
f) Exchange of experience among members;
g) Publication of periodic and non-periodic journals, information pamphlets, and other publications
h) Participation in the associations and companies mentioned in the purpose.

§5 Acquisition and Types of Membership
Legal entities or associations of persons (e.g., companies, associations, authorities, foundations) interested in the purpose of the association may apply for membership. Natural persons can – with the exception of honorary members – only become members of the association under the stated conditions. With their application for admission, they recognize the statutes and the resulting rights and obligations.
The application for admission must be addressed in writing to the Board. The Board examines whether the requirements for admission are met and makes a final decision on the admission of new members. Membership takes effect upon notification by the Board. The rejection of an application for admission does not require justification.
The association has: – ordinary members; – supporting members; – honorary members.
1. Ordinary members are legal entities or associations of persons (with or without profit-making intent) that are active in the healthcare sector with their business area or offer education, advanced training, or further education qualifying at least in sub-areas for activity in the healthcare infrastructure industry.
2. Ordinary members can be natural persons who are active in the healthcare sector or offer assistance qualifying at least in sub-areas for activity in the healthcare infrastructure industry.
3. Supporting members can be educational institutions or non-profit institutions, authorities, other state organizations, as well as companies that do not necessarily operate in the healthcare sector.
4. A natural person who has rendered outstanding services to the promotion of the association’s purpose can become an honorary member. Honorary membership is granted by the General Assembly with a majority of two-thirds of the voting members present.
Supporting members and honorary members have no voting rights.
In the event of a conversion of companies, membership is transferred to the legal successor as long as the requirements for membership continue to exist and the Board agrees.

§6 Rights and Obligations of Members
1. All members and supporters are obliged to promote the interests of the InGes association to the best of their ability and to refrain from anything that could jeopardize its reputation and purpose.
2. Members have the right to participate in all decision-making and opinion-forming processes of the association in accordance with the provisions of these statutes.
3. Members are obliged to uphold its reputation.
4. The positions of the InGes association are represented by the Board. Members may only represent the positions of the association externally in coordination with the Board.
5. Every member is obliged to immediately notify the association of any change that has an indirect and/or direct effect on membership in the association.

§11 Board/Executive Committee
The Executive Committee consists of at least the President and one Vice President. Before an election to the Executive Committee, the General Assembly decides with a majority of two-thirds of the valid votes cast by the voting members whether the Executive Committee will be expanded.
All members of the Executive Committee must be an owner, partner, or employee of the same ordinary member at the time of their election and during their term of office.
Two members of the Executive Committee represent the association in each case in accordance with § 26 BGB.
The President is elected by the General Assembly in an election according to § 32 BGB for a term of two years; however, she remains in office until the election of the new President. The person who receives more than two-thirds of the valid votes cast is elected. If a two-thirds majority is not reached, the person who receives the majority of the valid votes cast in the third ballot is elected. Re-election is permitted.
The Vice President and other Board members are elected by the General Assembly in individual elections for a term of two years. However, the Vice President remains in office until the election of the new deputy. The person who receives the majority of the valid votes cast is elected. Re-election is permitted.
The Executive Committee may issue election regulations in which details of the election process are governed. The Executive Committee has a quorum if, in the case of two Presidents, both are involved in the resolution by casting a vote, otherwise at least half of the acting Executive Committee members are involved. The vote can also be exercised by transferring the voting right to another Board member by proxy for the individual case. The Executive Committee may pass resolutions by written circular.

Supplementary:
• The InGes association will be led by a volunteer President for a maximum duration of the first year.
• The President represents InGes in all economic and organizational matters and tasks. She is responsible for all matters with financial implications for the InGes association and is authorized to conclude legally binding contracts with third parties.
• Within the first year after founding, an ordinary General Assembly will take place together with the logistic-natives association, and then the formulations of logistic-natives e.V. will become valid.

The InGes association may establish a scientific advisory board, which, as a body, advises the President of the InGes association on all questions regarding the content of existing and future further education programs as well as on individual technical questions in connection with the further education program. Further details are regulated in advisory board statutes.
The InGes association operates according to private sector principles in the form of a profit center organization.
The President represents the InGes association on all scientific and technical issues. She determines the content profile and the further education offers of the specialist group. These usually consist of extra-occupational qualification programs with final examinations, seminars and workshops, future workshops and exchanges of experience, technical lectures, and information events.
The President of InGes confirms the curricula for the qualification programs with final examinations and publishes the examination regulations, which govern the awarding of certificates, transcripts, and diplomas. State and international degrees are based on the corresponding legal regulations.

The President of the InGes association may propose amendments to the statutes. For its effectiveness and before its implementation, the amendment to the statutes requires approval by the Executive Committee/Board of the InGes association. If approval for the amendment to the statutes is not granted by the body, the amendment proposed by the President is deemed rejected.

§21 Partner Agreement
The partner agreement has been negotiated separately in advance. The signed version is attached as an annex to these statutes.
